Terms of Service

1. Acceptance of Terms

By downloading, installing, or using ⌘CC ("the App"), you agree to be bound by these Terms of Service. If you do not agree, do not use the App.

2. Description of Service

⌘CC is a macOS application that provides AI-powered text transformation. It allows you to enhance, simplify, translate, and fix grammar in any text on your Mac using a keyboard shortcut. When using our credits plan, the App processes text through third-party AI providers via OpenRouter. When using the Lifetime License (BYOK), the App connects directly to the OpenAI API using your own API key.

3. License Grant

Upon purchase of a valid license, we grant you a personal, non-exclusive, non-transferable, revocable license to use the App on your personal devices. You may not sublicense, resell, redistribute, or reverse-engineer the App.

Lifetime License: Grants perpetual access to the App with your own API key. "Lifetime" refers to the lifetime of the product.

Monthly Credits: A recurring subscription that provides a monthly allocation of AI processing credits. Credits reset each billing cycle and do not roll over.

4. User Responsibilities

You agree to:

• Use the App in compliance with all applicable laws.
• Not use the App to process illegal, harmful, or abusive content.
• Keep your license key confidential and not share it with others.
• If using your own API key, comply with the respective API provider's terms of service.

5. Payments & Refunds

All payments are processed securely through Stripe. Prices are displayed at the time of purchase and are subject to change.

Lifetime License: One-time payment. No recurring charges.

Monthly Credits: Billed monthly. You may cancel at any time through the billing portal. Cancellation takes effect at the end of the current billing period.

Refunds: We offer refunds on a case-by-case basis within 14 days of purchase. Contact us at marvin@wrkstatt.de if you are unsatisfied.

6. Intellectual Property

The App, its code, design, and branding are the intellectual property of wrkstatt UG (haftungsbeschränkt). Your purchase grants a license to use the software — not ownership of it.

Content you create or transform using the App remains yours.

7. Third-Party Services

The App relies on third-party services to function. We are not responsible for the availability, accuracy, or policies of:

• OpenRouter — for AI model access and text processing (credits plan).
• OpenAI — for AI model access and text processing (BYOK plan, via your own API key).
• Stripe — for payment processing.
• Supabase — for license management, subscription tracking, and credit balance storage.

Your use of these services is subject to their respective terms.

8. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that:

• The App will be uninterrupted, error-free, or secure.
• AI-generated results will be accurate, appropriate, or fit for any particular purpose.
• The App will be compatible with future macOS versions.

You are responsible for reviewing any AI-generated output before use.

9. Limitation of Liability

To the maximum extent permitted by law, wrkstatt UG shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App. Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your license if you violate these Terms. Upon termination, you must stop using the App and delete all copies. Sections that by their nature should survive termination (including liability, intellectual property, and governing law) will remain in effect.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the App after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bielefeld, Germany, unless mandatory consumer protection law provides otherwise.
